Policy Overview

EXPedex operates within competitive markets and is dedicated to adhering to all antitrust and competition laws applicable to our global operations. These regulations serve to benefit customers by fostering lower prices, increased choice, and enhanced innovation. Any actions contrary to these laws, such as agreements among competitors to manipulate prices or divide customers, territories, or markets, are strictly prohibited and do not align with EXPedex’s business practices.

Scope: This Policy extends to every officer, director, manager, and employee (“Team Member”) of EXPedex Global and its subsidiaries. Every Team Member is obligated to comply with all relevant antitrust and competition laws. Breaches of these laws can result in severe penalties, including substantial financial fines, loss of business opportunities, and potential individual fines and prison sentences in certain jurisdictions. Moreover, violations may lead to a loss of customer trust, significantly impacting our business in both the short and long term.

Overview of Team Member Responsibilities: While antitrust and competition laws are intricate and their requirements may vary by country or territory, each Team Member must adhere to the following core principles to ensure compliance:

  1. Avoid Agreements with Competitors: Team Members must refrain from proposing or entering into any formal or informal agreements, arrangements, or understandings with EXPedex’s competitors regarding various aspects of competition or business operations.

  2. Confidentiality: All commercially sensitive information of EXPedex must be kept confidential, and Team Members must not share such information with competitors, either directly or indirectly.

  3. Approval for Price Controls: Team Members must obtain written approval from the company’s Legal Department before participating in any agreements that set or control resale prices for products or services.

  4. Trade Association Engagement: Prior written approval from the Legal Department is required before participating in any trade association activities, and Team Members must avoid interactions with competitor employees at such events that could imply improper agreements or information exchanges.

  5. Immediate Action Against Improprieties: Team Members must promptly object to any suggestion of improper agreements or inappropriate information exchanges among competitors and immediately report such instances to the Legal Department.
